Agreement to Terms
These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "Customer", "you") and Inboxvio ("Company", "we", "us", "our"), governing your access to and use of the Inboxvio software-as-a-service platform, including all associated features, tools, APIs, documentation, and support services (collectively, the "Service").
By registering for an account, accessing, or using the Service in any manner, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms in their entirety, you must immediately discontinue all use of the Service.
Description of Service
Inboxvio is a professional email campaign and outreach platform delivered exclusively as a Software-as-a-Service (SaaS). The Service enables users to:
- Connect and manage multiple SMTP configurations with automatic rotation
- Upload, validate, and manage email contact lists
- Compose and send bulk email campaigns
- Create and manage automated follow-up sequences
- Access real-time campaign analytics, logs, and delivery reports
- Generate and export business contact leads using map-based tools
- Manage email templates, contact groups, and subscription plans
The Service is provided on a subscription basis. We reserve the right to modify, enhance, or discontinue features of the Service at any time, consistent with our commitment to continuous improvement. Material changes that negatively affect existing functionality will be communicated to users with reasonable notice.
Eligibility
To use the Service, you must:
- Be at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater
- Have the legal capacity to enter into a binding contract
- Not be prohibited from using the Service under applicable law in your jurisdiction
- Not have been previously suspended or removed from the Service
- Use the Service only for lawful business purposes
By using the Service you represent and warrant that you meet all of the above eligibility requirements. We reserve the right to verify your eligibility at any time and to deny or terminate access to users who do not meet these requirements.
Account Registration & Security
Registration
To access the Service you must register for an account by providing accurate, current, and complete information, including your full name and a valid email address. You agree to maintain and promptly update your account information to keep it accurate and current.
Account Credentials
You are responsible for maintaining the confidentiality of your account credentials, including your password. You must not share your account credentials with any third party. You are solely responsible for all activity that occurs under your account, whether or not authorised by you.
Security Obligations
You agree to notify us immediately at the contact details provided in Section 18 if you become aware of any unauthorised access to or use of your account. We will not be liable for any loss or damage arising from your failure to comply with this obligation.
One Account Per User
You may not create multiple accounts for the purpose of circumventing subscription limits, usage quotas, or any other restrictions. Accounts found to be operated in bad faith may be suspended without notice.
Subscription Plans & Payment
Plans
The Service is offered under several subscription tiers, including a free plan and paid plans with enhanced features and higher usage limits. Current plan details, pricing, and included features are described on our pricing page and may be updated from time to time.
Payment
Paid subscriptions are billed in advance on a monthly or annual basis. We accept payment via major credit and debit cards through Stripe, and via Paystack for Nigerian Naira (NGN) transactions. By providing payment information, you authorise us to charge the applicable subscription fee to your payment method.
Free Trial
Paid plans may include a free trial period as stated on the pricing page at the time of sign-up. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial expires. No charge is made during the trial period.
Renewals & Cancellation
Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel your subscription at any time from your account billing settings. Cancellation takes effect at the end of the current billing period — you retain access to the Service until that date. We do not offer refunds for partial billing periods unless required by applicable law.
Failed Payments
If a payment fails, we will attempt to notify you by email and may retry the charge. If payment is not received within a reasonable grace period, your account may be downgraded to the free plan or suspended until payment is received.
Price Changes
We reserve the right to change subscription prices. We will provide at least 30 days' notice of any price increase before it takes effect for existing subscribers. Continued use of the Service after the effective date of a price change constitutes your acceptance of the new price.
Acceptable Use Policy
You agree to use the Service only for lawful, legitimate business purposes and in compliance with all applicable laws and regulations. The following uses of the Service are expressly prohibited:
Prohibited Content
- Sending or facilitating the sending of spam, unsolicited bulk email, or any messages that violate applicable anti-spam laws including the CAN-SPAM Act, GDPR, CASL, and PECR
- Distributing malware, ransomware, viruses, phishing links, or any malicious code
- Sending content that is fraudulent, deceptive, misleading, or that impersonates any person or organisation
- Distributing content that is illegal, defamatory, obscene, threatening, harassing, or that incites violence or discrimination
- Promoting illegal activities including but not limited to money laundering, fraud, drug trafficking, or human trafficking
- Sending adult or sexually explicit content without verifiable age consent mechanisms
Prohibited Technical Use
- Attempting to gain unauthorised access to any part of the Service, its infrastructure, or other users' accounts
- Reverse engineering, decompiling, or disassembling any part of the Service
- Using the Service to conduct security attacks, port scans, or denial-of-service attacks
- Circumventing, disabling, or interfering with security features, rate limits, or usage quotas
- Scraping, crawling, or data-mining the Service in any automated manner not expressly permitted
- Creating accounts by automated means or under false pretences
- Reselling, sublicensing, or otherwise making the Service available to third parties without our written consent
Anti-Spam Policy
Inboxvio is committed to maintaining a zero-tolerance policy on spam. This policy applies to all users regardless of subscription plan.
Consent Requirement
You must have obtained prior, verifiable consent from all email recipients before sending them commercial or promotional messages through the Service. Consent must comply with the standards required by applicable law in both your jurisdiction and the recipient's jurisdiction.
Prohibited List Practices
- Uploading or using purchased, rented, scraped, harvested, or third-party email lists is strictly prohibited
- Sending to addresses obtained from data brokers, list vendors, or any source where recipients did not opt in to receive communications from you specifically
- Sending to addresses that have previously unsubscribed from your communications
Unsubscribe Compliance
All commercial emails sent through the Service must include a clear, functional, and prominent unsubscribe mechanism. You must honour all unsubscribe requests promptly, within the timeframe required by applicable law (no later than 10 business days under CAN-SPAM). Inboxvio's built-in unsubscribe tracking assists with this obligation but does not substitute your own compliance responsibilities.
Sender Identification
All emails must accurately identify the sender. You must not use a false or misleading "From" name, reply-to address, or subject line. Your email must include your valid physical mailing address as required by the CAN-SPAM Act and equivalent laws.
Enforcement
We monitor usage patterns for indicators of spam activity including abnormally high bounce rates, spam complaint rates, or unusual sending volumes. Accounts exhibiting these patterns may be suspended pending investigation. Users confirmed to be sending spam will be permanently terminated without refund.
Intellectual Property
Our Intellectual Property
The Service, including its software, source code, architecture, design, user interface, features, documentation, trademarks, and all other content owned or created by Inboxvio, is protected by copyright, trademark, trade secret, and other intellectual property laws. All rights not expressly granted to you under these Terms are reserved by Inboxvio.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business purposes in accordance with these Terms. This licence does not include any right to sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Service.
Your Intellectual Property
You retain full ownership of all content, data, email templates, contact lists, and other materials that you upload or create through the Service ("Your Content"). You grant Inboxvio a limited, non-exclusive, worldwide, royalty-free licence to store, process, and transmit Your Content solely to the extent necessary to provide the Service to you.
We will not use Your Content for any purpose other than providing and improving the Service, and we will not sell, share, or disclose Your Content to third parties except as described in our Privacy Policy.
Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant us an irrevocable, royalty-free, worldwide licence to use and incorporate that feedback into the Service without any obligation to you.
Your Content & Data
Responsibility
You are solely responsible for the accuracy, legality, and appropriateness of all content and data you upload, transmit, or store through the Service, including email content, contact lists, and SMTP credentials. You represent and warrant that you have all necessary rights, permissions, and consents to use such data through the Service.
Data Retention
We retain your account data, campaign history, and contact information for as long as your account is active, and for a reasonable period thereafter to comply with legal obligations or resolve disputes. You may request deletion of your data at any time as described in our Privacy Policy.
Data Export
You may export your contact data, campaign reports, and account information at any time while your account is active. We are not responsible for any loss of data following account termination if you have not exported your data prior to termination.
SMTP Credentials
SMTP credentials you store in the Service are encrypted at rest. You are responsible for the security of your SMTP accounts and must ensure that stored credentials are valid, current, and authorised for use. We are not responsible for misuse of SMTP credentials or for emails sent via compromised SMTP accounts.
Third-Party Services
The Service integrates with certain third-party services to deliver its functionality, including:
- Stripe — payment processing (subject to Stripe's Terms of Service and Privacy Policy)
- Paystack — payment processing for NGN transactions (subject to Paystack's Terms of Service)
- Redis — background job queue infrastructure
- Google Maps / Geocoding — map-based lead generation features
Your use of third-party services through Inboxvio is subject to those third parties' own terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services. We will notify you of material changes to key third-party integrations where feasible.
You are responsible for complying with the terms of service of any SMTP providers you connect to the Service (e.g. Gmail, SendGrid, Mailgun), including their acceptable use policies and sending limits.
Service Availability & Modifications
Uptime
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, unplanned outages, infrastructure failures, or events outside our reasonable control.
Maintenance
We will endeavour to perform scheduled maintenance during off-peak hours and to provide advance notice where possible. Emergency maintenance may be performed without notice.
Modifications
We reserve the right to modify, update, or discontinue any feature or aspect of the Service at any time. We are committed to continuous improvement and will regularly introduce new features and enhancements. Where a modification materially reduces the functionality available to paid subscribers, we will provide at least 30 days' advance notice and, where appropriate, a pro-rated credit or refund.
Disclaimers
We do not warrant that:
- The Service will meet your specific requirements or expectations
- The Service will be uninterrupted, timely, secure, or error-free at all times
- Emails sent through the Service will be delivered or will not be marked as spam by recipient mail servers
- Any errors or defects in the Service will be corrected within any particular timeframe
- Results obtained from use of the Service will be accurate or reliable for any particular purpose
Email deliverability depends on many factors outside our control, including recipient mail server configuration, sender reputation, content quality, and applicable spam filters. We make no guarantee of inbox placement rates.
Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Inboxvio, its directors, employees, agents, or licensors be liable for any:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, business, or goodwill
- Costs of procurement of substitute services
- Damages arising from your reliance on the Service for any particular business outcome
Whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.
In no event shall our total aggregate liability to you for all claims relating to the Service exceed the greater of: (a) the total amount paid by you to Inboxvio in the twelve (12) months immediately preceding the claim; or (b) one hundred US dollars (USD 100).
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless Inboxvio, its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:
- Your violation of these Terms or our Privacy Policy
- Your use or misuse of the Service
- Your violation of any applicable law, regulation, or third-party right
- The content, accuracy, or legality of emails you send through the Service
- Your failure to obtain proper consent from email recipients
- Any claim by a third party that your content or use of the Service violates their rights
We reserve the right, at your expense, to assume exclusive control of the defence of any matter subject to indemnification. You agree to cooperate with our defence of these claims.
Termination
By You
You may terminate your account at any time by cancelling your subscription through your account settings. Termination takes effect at the end of your current billing period. You remain responsible for any charges incurred prior to termination.
By Us
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, if we determine in our sole discretion that you have violated these Terms, engaged in fraudulent or illegal activity, or pose a risk to the integrity or security of the Service or other users.
In the case of non-material breaches, we will generally attempt to provide notice and an opportunity to remedy the breach before terminating your account.
Effect of Termination
Upon termination of your account for any reason, your right to access the Service ceases immediately. We may delete your account data after a reasonable retention period. Provisions of these Terms that by their nature should survive termination shall do so, including Sections 8, 13, 14, and 16.
Governing Law & Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with applicable law. Users in the European Union benefit from the mandatory consumer protection provisions of their local law, which these Terms do not seek to override.
Informal Resolution
Before initiating any formal dispute proceedings, you agree to contact us at the address in Section 18 and attempt to resolve the dispute informally. We will respond to your notice within 30 days and both parties will attempt in good faith to resolve the dispute within 60 days.
Disputes
If informal resolution is unsuccessful, disputes shall be resolved through binding arbitration or through the courts of the jurisdiction applicable to your location. Nothing in this clause prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction.
Class Action Waiver
To the extent permitted by applicable law, you waive any right to participate in any class action lawsuit or class-wide arbitration against Inboxvio.
Changes to These Terms
We reserve the right to update or modify these Terms at any time to reflect changes in our Service, applicable law, or business practices. When we make material changes, we will:
- Update the "Last updated" date at the top of this page
- Notify active users by email at least 14 days before the changes take effect
- Display a prominent notice within the Service
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must cease using the Service and cancel your account before the effective date.
